Do I need a stamp for work?

The round seal is now abolished. Individual entrepreneurs and LLCs do not need to have a seal, It’s just that it will make your documents look more solid and reliable in front of your counterparties. The seal does not need to be registered; after production, you can immediately work with it.

When can I choose a tax regime?

If the individual entrepreneur does not declare about the application of a different tax regime, the general one will be applied by default.

Go to UTII possible at the actual start of the activity in respect of which the “imputation” will be applied. To do this, within 5 working days from the actual start of work, you need to submit an application to the tax office in form No. UTII-2. Work according to patent possible from the moment of registration; for this, an application is submitted to the tax office in form No. 26.5-1. If the individual entrepreneur decides to switch to the patent system, then the application is submitted 10 days before the start of work on the patent. If the LLC does not declare on the application of a different tax regime, the general one will be applied by default (an additional complication of the general system is a rather large set of required quarterly reporting) Application for transition to simplified tax system(Form No. 26.2-1) can be submitted to the tax office either immediately when submitting documents for registration, or within 30 days from the date of registration, if you miss this deadline, you can switch to “simplified taxation” only from the beginning of the new calendar year. Income – in this case, the tax rate will be 6%, however, when calculating the tax, it will not be possible to reduce the tax base for the organization’s expenses;

Income minus expenses - the tax rate in this option will be 15%, while as part of the expenses accepted when calculating the tax, you can only take into account those costs of the company that are directly named in Article 346.16 of the Tax Code of the Russian Federation.

The application for switching to the simplified tax system should be submitted to the Federal Tax Service in two copies: the inspectorate will take one of them, and on the second it will mark the acceptance of the document and return it to the applicant. This second copy will confirm the legality of working on the simplified tax system.

Is it necessary to open a current account?

A current account is not required for individual entrepreneurs, but it will make your job easier. You can exchange payments online and track income and expenses separately from your personal money.

The LLC was opened before registration a temporary account in the bank and deposited at least half of the authorized capital into it. Now this is not necessary, but the period for full payment has become shorter - not a year, but four months. Select a bank (by assessing its reputation, lifespan, tariffs and customer reviews) and open a current account with it.

There is no need to notify any departments about opening a bank account.

What address should I provide when registering?

Individual entrepreneur registration be carried out only at the address of his permanent residence. Therefore, the address is determined by the tax office, to which you will subsequently report. The address of permanent residence must be confirmed by registration at the address. Registration in places other than the place of registration is allowed only to those who do not have one (there is no registration mark in the passport).

LLC location address the address of its director is recognized by law. It is at this address that the organization should be registered, and it is this address that is called the legal address. You can also register an LLC at the home address of the director, but ideally the legal address of the actual location of the LLC should be the same. Their compliance can be checked by both the tax office and the bank in which the company’s accounts will be opened. If the LLC is registered under the registration of the director, and rents a separate office to conduct its activities, controllers may recognize the office as a separate division. This may entail both the need to register with an additional INFS and the loss of the right to apply special tax regimes.

The right to use the premises at the legal address must be documented. These can be both documents for the property and a lease agreement. You will need to confirm your address when submitting documents for registration. However, the registered LLC does not yet exist at this moment, and therefore cannot be a party to the agreement. In this case, it is enough for the registrar to present a letter of guarantee from the landlord confirming the willingness of the owner of the premises to rent it out.

Who can become an entrepreneur or founder of an LLC?

Restrictions for individual entrepreneur registration:

The legal capacity of an individual should not be limited by law or court;

An individual must not be in government or military service;

An individual who has not reached the age of majority must obtain legal capacity by getting married, receiving parental consent to start a business, or a court decision or a guardianship authority on full legal capacity.

Restrictions for registering an LLC:

Minors;

Incapacitated or partially capable persons;

Persons employed in the civil service;

The sole founder of an LLC cannot be another LLC, which also has only one participant.

Who and how to notify about the start of activities?

In most cases, no one needs to be notified. Roszdravnadzor must be notified about the start of work in the field of social services; when providing transport services, Rostransnadzor must be notified; about the provision of household services and the start of trading activities, Rospotrebnadzor must be notified. It is enough to do this literally in a day. In other cases, there is no need to report either the start or the temporary suspension of activities.

How to register with extra-budgetary funds (FSS and Pension Fund)?

FSS – Social Insurance Fund; PFR – Pension Fund of Russia

Registration with the FSS will be required for individual entrepreneurs, only if he decides to hire workers; for those who plan to work independently, there is no need to register with the Social Insurance Fund. There is no need to specifically apply for a registration number to the Pension Fund. The registration inspection itself will send the information; registration with the Pension Fund occurs automatically without any participation. The fund will send notifications with the registration number by mail to the individual entrepreneur’s registration address.

Registration in funds for an LLC does not require any additional steps. After information about the new LLC is entered into the Unified State Register of Legal Entities, the registration inspectorate itself will forward this information to the territorial divisions of the funds in accordance with the legal address of the company. Based on the information received, the funds will assign registration numbers to the organization and send certificates by mail. About a month after registration, if by that time the letter with the registration number has not arrived, you can find out by requesting an extract from the state register or by contacting the PFR and FSS departments.

What if I can’t visit the Federal Tax Service at the appointed time?

For what reason can registration be refused?

Mostly, refusal to register an individual entrepreneur may be caused by the unreliability of the information provided or errors in filling them out. Therefore, it is extremely important to ensure that all required information is filled out correctly before submitting your documents. For example, Last Name, First Name, Patronymic and registration address in the application must correspond to these data according to the passport. Using an automatic service for filling out documents virtually eliminates the possibility of errors in documents.

Refuse to register an LLC they can if:

The application was signed by a person who does not have the appropriate authority, or discrepancies were identified in the submitted documents regarding information about the applicant or his representative;

The application does not contain the TIN of the individual, if available;

In order to register as an individual entrepreneur, you need to send a package of documents to the tax office, which includes:

    Application on form P21001 – 1 copy.

    Receipt for payment of state duty - 1 copy.

    Copy of identification document (passport) – 1 copy.

If you plan to work under a simplified taxation system, you can, together with these documents, immediately submit a notification to apply the simplified tax system in two copies.

Within 3 working days after receiving the documents, the tax office will register you as an individual entrepreneur or refuse if there are reasons or the documents are filled out with errors. After registration, the inspectorate will issue the newly created individual entrepreneur with a notice of registration of an individual with the tax authority and an extract from the Unified State Register of Individual Entrepreneurs. A certificate of registration of individual entrepreneurs on a tax form has not been issued since 2017.

Methods for sending documents

There are several options:

    Personal visit to the tax office. You take the documents to the tax office at your place of registration and pick up the completed documents there. In this case, your costs will be limited to the state duty of 800 rubles.

    Mail. You send the documents to the tax office by registered mail with a list of attachments. The registration package of documents will also be sent to you by mail. Before sending the documents, you will need to have each of them certified by a notary, and this is an additional expense in addition to the state fee.

    Sending through a representative. It is not you who submit the documents, but a representative who acts on your behalf under a power of attorney. In this case, application P21001 and a copy of the passport must be certified by a notary. You can collect documents from the tax office yourself or through a representative.

    Registration of individual entrepreneurs online. This option is a salvation for those who actually live and plan to conduct business far from their place of permanent registration, which means they cannot appear in person at the tax office.

Registration of individual entrepreneurs online through the Federal Tax Service website

You submit all documents via the Federal Tax Service website electronically, and receive documents from the tax office in the same way. In this case, there is no need to go to the Federal Tax Service in person. But this option is only available to those who have an electronic signature, because... documents must be certified with digital signature when sent. If there is no electronic signature, you must first apply for its registration to a specialized organization and pay for it at the organization’s tariffs (approximately 1,000 rubles).

In order not to issue his own digital signature, a future individual entrepreneur can contact a notary to certify documents with his digital signature for a fee - notaries have this right. In this case, registration documents will also be sent to the notary in electronic form.

Please note that there are two options on the Federal Tax Service website:

    “Submission of electronic documents for state registration of legal entities and individual entrepreneurs.” If you have an electronic signature and want open an individual entrepreneur online without a personal visit to the tax office, you need to choose this option. You will need to upload scans of your passport, payment receipts, application P21001, and send them, certified by digital signature.

    “Filing an application for state registration of individual entrepreneurs and legal entities.” This option is not IP registration online. So you can only fill out and submit form P21001, that is, declare your intention to register as an individual entrepreneur. But this will not free you from the need to personally appear at the tax office with identification documents. Moreover, before sending such an application through the Federal Tax Service, you will need to pay the state fee at the bank or directly on the Federal Tax Service website. Without this, it will not be possible to submit an application through the Federal Tax Service website.
    After submitting your application, you will receive a notification from the registration authority with an invitation to contact the tax authority within 3 days. If you do not appear at the Federal Tax Service within the specified three days, your application will be canceled and you will have to submit a new one.

Filling out an application on form P21001

All requirements for filling out are contained in Appendix No. 20 to Order of the Federal Tax Service of Russia No. ММВ-7-6/25@ dated January 25, 2012. You need to adhere to them in order to avoid mistakes and not be denied registration.

The form consists of 3 sheets with appendices A and B.

Russian citizens fill out the first two pages and both applications. The third sheet is intended only for foreign citizens and stateless persons, the rest skip it. It contains information about a document confirming the right of foreign citizens and stateless persons to reside in the territory of the Russian Federation.

The personal data of the future entrepreneur on pages 1 and 2 must be entered strictly in accordance with the passport data.

In Appendix A you need to indicate the main code of the type of activity and several additional ones that the individual entrepreneur plans to engage in. When choosing codes, you must be guided by the All-Russian Classifier of Types of Economic Activities OK 029-2014 (NACE Rev. 2).

If there are many codes and one sheet A is missing, take another one, but do not indicate the code of the main activity again on it. And don’t try to specify as many additional codes as possible “in reserve.” Indicate those that you really plan to do, and you can add new ones at any time.

Keep in mind that the type of activity you indicate as your main one will determine the rate for insurance against industrial accidents if you hire workers.

The tax office has its own requirements for filling out an application for registration. For example, if you fill out the application manually, you can only use black ink. The mobile phone number must begin with “+7”, and the landline number with “8”. Let's look at it with an example.


On the third page you need to indicate the OKVED activity codes. Using them, the tax office will understand what you are doing. For example, 31.02 is the production of furniture, and 47.78 is the sale of sunglasses and vision protection.

For some types of activity, then you won’t have to pay taxes for a year or two. Tax holidays can be received by new individual entrepreneurs who work on a patent or simplified tax system in production, social, scientific spheres or provide personal services. Regional laws determine which companies can receive tax holidays.

The application must indicate the main and additional activity codes. The main one is the one for which you plan to receive the most income. There can be as many additional ones as you like, but we recommend limiting yourself to two.

On the fourth page you need to indicate your contact phone number and email. Please indicate how you would like to receive information about individual entrepreneur registration: in person, by mail or through a proxy.


Choose a tax system. An individual entrepreneur can work on a general system or special modes - simplified tax system, UTII, patent.

The application indicates which version of the simplified tax system it is planned to work on: “Income” or “Income minus expenses”. It is profitable to work on “Income” for entrepreneurs who provide services. If expenses are more than 60% of turnover, it is more profitable to work according to the “Income minus expenses” system.


Pay the state fee. The state fee must be paid if you submit documents to the tax office yourself. You can pay on the tax website or through your mobile bank.

If you submit documents through the tax website, you do not need to pay a fee, but you will need an electronic signature.

How to apply for registration online

To submit an application online, you will have to issue a qualified electronic signature - CEP. It is multifunctional - you can sign contracts with contractors and participate in tenders. You can issue a CEP at a certification center or at a bank.

After the CEP has been received, you can register the individual entrepreneur.

Since 2017, the tax office has been sending notification of individual entrepreneur registration by email. You can save or print it. No official forms are needed.

How much does it cost to open a sole proprietorship?

The cost depends on the registration method.

Upon self-registration you need to either pay a state fee - 800 RUR, if you submit documents to the tax office in person, or pay a CEP - from 3 thousand rubles, if you are going to register through the tax office website. The cost of a signature depends on who issues it and additional services.

If you arrange through intermediaries, you will have to pay:

  1. Registrar services - usually from 2000 RUR.
  2. A notary's power of attorney - from 800 to 2000 RUR, if he goes to submit documents to the tax office for you.

If the registrar sends documents via the Internet, you will also need to complete a CEP - from 3 thousand rubles.

How long does registration take?

If you register as an individual entrepreneur and submit documents yourself, registration takes 3 business days from the date of submission of documents.

If you register an individual entrepreneur through intermediaries, the period may increase - check with the company.

When can the tax office refuse to register an individual entrepreneur?

Here are the most common mistakes:

  1. Typo in full name.
  2. Incorrect passport number or series.
  3. Submission of documents not at the place of registration.
  4. Incorrect abbreviation of a word. For example, the word “district” should be abbreviated as “district”, and not just “r.”.
  5. TIN, if any, is not indicated.

After registration

To start work, you need to open a bank account and notify the authorities about the start of work.

Send a notification about the activities of the individual entrepreneur. According to the law, the individual entrepreneur must notify the regulatory authorities about the start of work. True, this does not apply to all areas of activity. If you open a cafe, inform Rospotrebnadzor about it, and if you provide social services, inform Rostrud.

You can report in person, through the MFC or by mail. The main thing is to indicate in the notice the start date of work, address and type of activity. If an individual entrepreneur does not report the start of activities, he may receive a fine.

Open an individual entrepreneur's current account in a bank. It is needed for settlements with clients, partners, and for paying taxes and fees. Choose a bank where the conditions, cost of service and commissions suit you.

Do I need an IP stamp?

There is no requirement in the law that an individual entrepreneur must work with a seal. Some entrepreneurs do it out of habit or because they don’t want to explain to other companies that they can work without a seal.

    Before registration

    Registration of individual entrepreneurs with the tax office

    In most Federal Tax Service Inspectors, the bulk of documents are submitted and received according to the “one window” principle, i.e. in one place.
