I had a fairly trusting relationship with this supplier, and I asked where he got these flowers, and did they sell well? I found out that a shipment of 50,000 roses was shipped in two days.

    And this is with an increase in the price of these roses by 45 rubles!!! 50,000 in TWO DAYS!!! That's when I smelled money!

    Through the Internet, I found several ways to apply images to flowers, with which my friends from America, for whom this was not new, helped me a lot.

    1. American technology Speaking Roses speakingroses.com (laser printing... excellent quality, only one-color printing), franchise and equipment for Russia costs approximately $500,000! Naturally expensive... By the way, it has already been bought by the Ukrainian company “Roses are still being crushed.” This option disappeared immediately.
    2. Chinese analogue of the same printer for direct printing on flowers. The quality is full color, not bad, but, again, there are a lot of difficulties. I collected the money that I had at that time and purchased a printer that cost me, taking into account delivery and customs clearance, 145,000 rubles. 2 months later, when it came to me, I was very puzzled by the fact that the instructions and programs servicing it were in Chinese. With great grief, after a week, I figured out how to configure it. His typing speed was very slow. Each bud had to be smeared with a special gel, that is, 3 roses took 5 minutes. In addition, there was a fairly high percentage of defects. This innovation allowed me to stand out from the competition, however, it did not bring me the expected profit.
    3. I continued to search, and, thanks to the efforts of my friends from America, I found the simplest and most effective technology for applying images to flowers - the technology of using a special self-adhesive material made in the USA, which any inkjet printer can print on. I currently have 3 Lexmarks and 2 Hewlett Packards. This material is an absolute novelty on the market of our country and has no analogues. The image is printed on ultra-thin film, specially invented for gluing onto the petals of fresh flowers - roses, tulips, lilies, orchids, etc. In the same 5 minutes, it can produce up to a thousand images. In the future, my flower sellers at the dots cut out these images with scissors, remove the protective layer, and stick them on the flower petals. That's all.

    The material itself is absolutely invisible on the flowers. This is real know-how, since, when transferred to a flower, the film itself is not visible either in the spans of the letters or along the contour, but only a clear, colorful image is visible, which is much better than when using a Chinese printer. The image is full-color, clear, colorful, whether it is a photograph, drawing, logo or inscription.

    One person can easily stick images on a dozen flowers per minute, and the image can be removed for a while, so if you accidentally stick the wrong picture on the wrong flower, you don’t have to throw it away. The essence of my idea is that the cost of these images is tens of times less than any other method. The cost is approximately 3 rubles per piece. I sell for 40 rubles per image at my point. And I deliver these inscriptions to my clients in A4 sheets. One such sheet contains 120 images. I sell to my clients 10 rubles per image, that is, 1200 rubles per sheet. Their markup is 400%.

    Images can be different, in the form of words, wishes, declarations of love, pictures with Cupids and hearts, company logos, photographs, in general, everything that can be printed on a regular printer.

    I purchase material in large quantities directly from the manufacturer. My main clients at the moment are flower producers, wholesale and retail sellers of flowers and accessories, online florist stores, advertising companies, companies related to wedding services, PR departments of various companies, design and photo studios. In general, the field of activity is simply huge. For example, in St. Petersburg there are more than 3 thousand flower spots alone. I have so far managed to master a small part of this list, but I can say that those relatives and friends to whom I gave flowers with inscriptions and wishes on the buds were very impressed and surprised by such a gift. This is truly more than just emotions!

    At the moment, I have a stable and income-generating enterprise, the development of which I continue to work on now.

    This column is devoted to an overview of trade secrets (also known as know-how) as a result of intellectual activity in the understanding of Russian legislation and in the context of Russian judicial practice. The article examines the legal status of a production secret, certain aspects of the trade secret regime in relation to such an object, the peculiarities of exercising the right to dispose of it, situations in which such a result of intellectual activity may have several independent copyright holders.

    From time to time, the legal community becomes aware of litigation regarding information that is a trade secret (for example,). Sometimes such legal disputes become a consequence of an employee’s transfer from one organization to another, when, in connection with his work at his previous place of work, he became aware of a production secret in respect of which a trade secret regime was introduced, and the employee (for example, due to dishonesty or for selfish purposes ) divulged it to colleagues at the new place of work.

    Since in judicial practice a trade secret, as an object of dispute between the parties, is not such a frequent occurrence and questions often arise regarding its legal status, differentiation from the concept of a trade secret, the purpose of this column is to highlight the legal status of a trade secret (know-how) as a result of intellectual activity and its relation to trade secrets.

    Trade secret concept

    A production secret as a result of intellectual activity is familiar to the current Russian legislation, which is enshrined in Chapter 75. “The right to a production secret (know-how)”. The concept of a trade secret is given in the following way: .

    The double naming of the discussed category of results of intellectual activity (both trade secret and know-how) is explained by the fact that know-how is the result of the translation into domestic legislation of the term know-how from Anglo-Saxon law. It can be literally translated as “know-how” (that is, it refers to knowledge of a practical or technical nature that has become known as a result of experience or research). And in order to harmonize the domestic regulatory framework, the law of foreign states (including for the protection of domestic holders of trade secrets) was introduced such an additional designation to the term trade secret.

    As information constituting a production secret, V. Nikitin identifies the following:

    1. information about the results of scientific research;
    2. technical and technological documentation;
    3. results of experiments and tests;
    4. techniques;
    5. research materials on applied technologies and technological processes;
    6. projected assessments of market conditions;
    7. trends in the development of technology and technology;
    8. information about suppliers and buyers;
    9. information on the conditions and prices of contracts that are concluded or are being negotiated.

    This list is not exhaustive, and the list of such information may include other information.

    As specific examples of a production secret, we can recall the process of creating the Penetron waterproofing material, the chemical composition of the Coca-Cola drink, and the technical documentation for the automatic gas preparation units Istok-1 (for the last example, see).

    However, not all such information can be recognized as a trade secret. determines that information cannot be recognized as a trade secret, the mandatory disclosure of which or the inadmissibility of restricting access to which is established by law or other legal act.

    Legal protection of trade secrets (know-how)

    Legal protection of a production secret is expressed in the fact that a production secret is recognized by law as an independent result of intellectual activity, in view of which the owner of a production secret has the exclusive right to use and dispose of it in any way that does not contradict the law, including in the manufacture of products and the implementation of economic and organizational decisions ( cm. ).

    In view of this, if a person unlawfully obtains information that constitutes a trade secret of its owner, and this causes a violation of the exclusive right of such owner, the latter will have the right to defend his violated rights by all means permissible from the point of view of the law, seeking to eliminate such a violation.

    However, if a person in good faith and independently of other holders of a production secret has become the owner of information constituting the content of a protected production secret, such person acquires an independent exclusive right to this production secret (). This rule allows us to conclude that a production secret may have several independent owners if each of them, legally and separately from the others, was able, due to experience, knowledge or research, to achieve the information result that represents the corresponding production secret.

    At the same time, the presence of this norm allows us to say that the legislator, in order to develop and stimulate innovation and competition (primarily in the industrial field of activity), thereby allows different persons to obtain legal protection for the same essentially a production secret.

    At the same time, it is legally determined that legal protection in relation to a production secret (in the form of granting its owner the exclusive right to a production secret) is valid as long as the confidentiality of the information constituting its content is maintained (). As soon as the confidentiality of information constituting a trade secret is lost, the exclusive right to the trade secret is terminated for all right holders. Moreover, if the owner of such a trade secret wishes to terminate its legal protection by lawfully disclosing confidential information constituting a trade secret, he is not legally obliged to notify other holders of such a trade secret about his decision and the resulting legal consequences, much less coordinate such actions with them .

    Information may be considered confidential if a trade secret regime is introduced in relation to it. This conclusion is made on the basis which is stated as follows: “A production secret (know-how) is information of any nature (production, technical, economic, organizational and others) about the results of intellectual activity in the scientific and technical field and about methods of carrying out professional activities that have actual or potential commercial value due to their unknownness to third parties , if third parties do not have free access to such information on a legal basis and the owner of such information takes reasonable measures to maintain its confidentiality, including by introducing a trade secret regime".

    Accordingly, in order for the owner of the information to consider such information as his trade secret, he must take all necessary measures to ensure that such information is subject to the trade secret regime, which is provided for by the provisions of Federal Law No. 98-FZ of July 29, 2004 "". In the absence of a trade secret regime, a license agreement for a production secret may be recognized as not concluded (see).

    As P. Gulidov correctly notes, this federal law does not provide for a specific method of terminating the trade secret regime in relation to confidential information. Also, neither this law nor the regulations provide exceptions for restoring the regime of legal protection of trade secrets if the actions to disclose such information were unlawful. Therefore, if we imagine a situation in which, during an open trial, it is established that the disclosure by a person of information constituting the content of a trade secret was illegal and this person will be held accountable for disclosing information constituting a trade secret, the exclusive right to such a trade secret can still be considered terminated on the basis that the specified information became known to an indefinite number of persons.

    Disposal of rights to trade secrets

    In addition to this unique type of disposal of the exclusive right to a production secret, such as taking actions to disclose information constituting its content (that is, early termination of the exclusive right), the owners also have the right to transfer (alienate) the exclusive right to a production secret in full to another party () or grant the other party the right to use (license) the relevant trade secret within the limits established by the agreement ().

    And if in relation to the alienation of an exclusive right, one should mainly keep in mind the provisions according to which, when alienating the exclusive right to a production secret, the person who disposed of his right is obliged to maintain the confidentiality of the production secret until the termination of the exclusive right to a production secret (that is, so that the former the owner of the exclusive right, after receiving remuneration for the trade secret, did not nullify the commercial value of the transferred trade secret by disclosing its content, and thereby deprived the new owner of the benefits), then the licensing agreement can be discussed in more detail.

    Licensing agreement for know-how

    As in the case of the alienation of the exclusive right to a production secret, restrictions on the disclosure of information also apply to the relations of the parties under a license agreement. Thus, according to , persons who have received the corresponding rights under a license agreement are obliged to maintain the confidentiality of the production secret until the termination of the exclusive right to the production secret. This is due to the same need to preserve the commercial value of a trade secret in cases where the licensee is no longer bound by the terms of such a licensing agreement. And so that he is not tempted to disclose information constituting a trade secret after the expiration of the contract (and thereby cause harm to the current owners of such information), we believe that this legislative restriction is provided for this case.

    If we talk about the validity period of the license agreement, it does not establish certain requirements for it. A license agreement can be concluded either with or without specifying its validity period. However, if the term is not specified in the contract, then each of the parties has a legislative right to unilaterally withdraw from the contract with the obligatory condition of prior warning to the other party about this no later than 6 months before the date of entry into force of such refusal (). At the same time, the parties have the right to stipulate in the contract a different, longer period of such preliminary notification.

    A license to use a production secret can also be granted within the framework of a commercial concession agreement (, Decision of the Sovetsky District Court of Kazan (Republic of Tatarstan) No. 2-2216/2017 2-2216/2017~M-583/2017 M-583 /2017 dated April 18, 2017 in case No. 2-2216/2017, Decision of the Arbitration Court of the Krasnoyarsk Territory dated July 19, 2017 in case No. A33-350/2017).
